About this filing

File your company’s confirmation statement (CS01) with Companies House for a £4.99 service fee.

Every company, including dormant companies, must file one at least once every 12 months, up to 14 days after its review period ends. The £50 Companies House fee is included in the total, with the first statement in each 12-month payment period.

Confirmation statement checklist

  • Check the confirmation date and filing deadline on the company register. The date you confirm the records up to cannot be in the future.
  • Review the company details, directors, company secretary, people with significant control, business activities and current shareholder records. A PSC list is not a complete shareholder list.
  • Each director must have verified their identity. Have the company authentication code and the required directors’ personal identity codes ready. These are different codes; private identity details cannot be retrieved from the public register.
  • Confirm the registered email is appropriate, that you are authorised to file and that the company’s intended future activities are lawful.

Confirmation statement filing service: what we check

Our confirmation statement filing service is built around the information Companies House asks for. You confirm the records in the form, and we check them against the public register and the documents you upload before anything is filed. You approve the filing details before submission.

  • Register details: the confirmation date you choose, and whether any director, secretary, PSC or registered office change needs a separate filing first.
  • Shareholders and share capital: your current member register or shareholder list, any transfers since the last statement, and the statement of capital (share classes, numbers, nominal values and amounts unpaid).
  • SIC codes: whether the business activities shown on the register still describe what the company does.
  • Registered email address: whether the company has already provided one. If not, a first registered email address must be given with the statement. It is not shown on the public register.
  • Director personal codes: that every current director has verified their identity, and whether their Companies House personal codes are already linked to this company or still need to be supplied.
  • Fee position: whether the £50 annual fee is due for this statement or has already been paid in the current payment period.

How much does it cost to file a confirmation statement?

There are two separate charges: the SimpleFilings service fee, and the Companies House annual fee when it is due. Companies House charges the annual fee with the first confirmation statement in each 12-month payment period. The payment period is separate from the review period and cannot be changed.

  • SimpleFilings service fee: £4.99 per confirmation statement.
  • Companies House fee: £50 online, paid only with the first statement in each 12-month payment period. It is included in the total price.
  • Total when the annual fee is due: £54.99. Total when the fee for the current payment period has already been paid: £4.99.
  • A paper CS01 sent by post costs £110. Our standard route is online filing, where the £50 fee applies.

What if the company details have changed?

Changes to directors, the company secretary, PSCs, the registered office or an existing registered email need the relevant update before you confirm the records. Tell us what has changed in the form so the required work can be checked; separate corrective filings are not automatically included in one £4.99 request.

A confirmation statement can include changes to SIC codes, the statement of capital, the trading status of shares, a PSC information exemption and shareholder information. These still need accurate supporting records and review. Do not confirm that information is correct just because it appears on the public register.

PSC identity verification has its own submission process and deadline. Providing a director’s personal code with the confirmation statement does not complete their separate PSC requirements if they hold both roles.

Deadlines and dormant companies

Every company must file a confirmation statement at least once every 12 months, including dormant and non-trading companies and companies whose details have not changed. The review period ends 12 months after incorporation for the first statement, or 12 months after the confirmation statement date on the last statement. Filing is due within 14 days after the review period ends.

You can file early. If you do, you choose a new confirmation statement date and the next review period starts the day after it. Filing early does not move the separate payment period that decides when the £50 annual fee is due.

A confirmation statement is separate from annual accounts and an HMRC Company Tax Return. Filing dormant accounts does not complete your confirmation statement. You can also file directly through the official Companies House service and pay the government fee where due.

Overdue confirmation statement: what to do now

If your confirmation statement is overdue, check the company’s status and outstanding filings before starting. Companies House may issue a financial penalty or begin strike-off action. Dormant companies must file too.

We can check and prepare an overdue CS01 for a company still on the register. Start with your company number and tell us about any Companies House notice. Filing does not guarantee acceptance, cancel a penalty or guarantee that strike-off action stops.

  1. Check the confirmation date, deadline and any strike-off notice on the company register.
  2. Check the records and identify changes that must be filed before the statement.
  3. Have the company authentication code ready. All directors must verify their identity; supply their Companies House personal codes where required.
  4. Approve the details and pay the total shown. If a strike-off notice has arrived, contact Companies House promptly as well.

What this request covers

We check your instructions and submit the filing once it is approved. The register changes only when Companies House accepts it.

Before you start

  • All current individual directors must have verified their identity. We check the complete current director list and whether personal codes are already linked; verification alone is not enough. Corporate directors and protected details need the applicable route checked.
  • Incorrect officers, PSCs, registered office, existing registered email or SAIL details need their separate filings. Pending changes must be accepted or delivered with the statement as the chosen route permits.
  • Before payment, we read the uploaded records and reconcile the confirmation date, every shareholder and transfer, every currency/class and its capital and rights. File presence and public PSC or capital summaries do not prove completeness. Companies without share capital do not need capital or shareholder schedules.
  • We check the presenter's authority for the actual filing. A paper CS01 needs the authenticator's printed name. We verify that the authenticator acts in a permitted capacity; a customer intake checkbox does not authenticate the government form. Presenter contact information is optional and public if supplied.
  • The review period and fee payment period are separate. We verify any already-paid period against actual evidence before applying a zero government fee. Market trading, DTR5 and current or former PSC exemptions are outside the standard route.

Fees

£54.99 total when the annual government fee is due, including the £50 Companies House fee. £4.99 total if it has already been paid for the current payment period. £4.99 SimpleFilings service fee. The standard online Companies House fee is £50 when due, included in the total price. The government fee is charged with the first statement in each 12-month payment period; additional statements in that same paid period do not incur another annual fee.

£50 included in the total price for the first statement in a 12 month payment period. No further Companies House fee if that period has already been paid. We check this before filing.

Total for the standard online route: £54.99 (£4.99 to SimpleFilings + £50 Companies House fee included), or £4.99 if the annual fee for this payment period is already paid.

Step by step

  1. Find your company. Find your company by name or number. We fill in its public details from the Companies House register, such as the registered office, officers and people with significant control.
  2. Answer the questions. Answer only the questions we cannot fill in from the register, add any documents asked for and give the email address for your receipt and filing updates. Confirm that you are authorised to arrange the request and that you have checked and approve the details.
  3. Pay by card. Approve the details and pay the total shown by secure card payment. We check your answers before preparing the filing. The total price includes the applicable government filing fee.
  4. We submit to Companies House. We check your answers and any documents, then submit to Companies House. Updates go to your email, and you can follow progress through your private request link. A payment receipt is not confirmation that Companies House has accepted the filing.

Confirmation statement (CS01): common questions

Do I need an accountant to file a confirmation statement?

No. You can file it yourself through Companies House or use a filing service. It confirms company records rather than preparing accounts or a tax return. You still need accurate shareholder and share-capital records, the company authentication code and the required director identity details.

Can you file an overdue confirmation statement?

We can check and prepare an overdue CS01 for a company still on the register, once the required records, identity verification, codes, approval and payment are ready. Acceptance and any strike-off action remain decisions for Companies House.

How much does it cost to file a confirmation statement?

Companies House charges £50 to file online (£110 on paper), paid only with the first statement in each 12-month payment period. The SimpleFilings service fee is £4.99. That makes £54.99 when the annual fee is due, or £4.99 when it has already been paid for the current payment period.

What happens if I do not file my confirmation statement?

Companies House may issue a financial penalty and the company may be struck off the register. GOV.UK says you can be fined up to £5,000 and your company may be struck off if you do not file.

Do I pay £50 again if I file twice in a year?

Not within the same payment period. The annual fee is paid with the first confirmation statement in each 12-month payment period, and you can then file as many statements as you need in that period without paying again. A new fee is due once the next payment period starts, even if that is only a few weeks after your last statement.

Do all directors need to verify their identity first?

Yes. Companies House will not accept the confirmation statement until all directors have verified their identity. The statement must give a Companies House personal code for each director and confirm that each director has verified. People with significant control must also verify, but their timing depends on their situation.

Does a dormant company need a confirmation statement?

Yes. Every company, including dormant and non-trading companies, must file a confirmation statement at least once every 12 months, even if nothing has changed. Dormant company accounts are a separate filing with their own deadline.

Can I update shareholders or SIC codes on the confirmation statement?

Yes. The statement has an additional information section for changes to SIC codes, the statement of capital, the trading status of shares, a PSC information exemption and shareholder information. Changes to directors, the secretary, PSCs, the registered office and the registered email address must be filed before the statement.

Is a confirmation statement the same as annual accounts?

No. The confirmation statement confirms the information Companies House holds about the company. Annual accounts are a separate filing with a different deadline, and the Company Tax Return goes to HMRC separately. Filing one does not complete the others.

What do I need to file a confirmation statement online?

You need the company authentication code, a Companies House personal code for each director, and up-to-date records of the company’s shareholders, share capital and business activities. If the company has not yet given a registered email address, you need to provide one.
