Does my company count as dormant?

A company is dormant for Companies House when it has had no significant accounting transactions during the financial year. Companies House filing fees, late penalties and money paid for shares when the company was set up don’t count. It’s fine if the company traded in earlier years. Companies House guidance

What is in a set of dormant accounts?

Dormant accounts are short. They include a balance sheet, with the required statements above the approving director’s signature and printed name, and certain notes to the balance sheet. The previous year’s figures are shown where there are any. A small dormant company does not need an auditor’s report. We prepare the accounts from the figures you confirm and send them for director approval before anything is filed.

Why do you need my company authentication code?

Your six-character company code authorises online filing with Companies House. It is different from your personal identity code. We store it encrypted. Enter it in the filing form rather than chat. Need a replacement code?

Does the £4.99 include a confirmation statement or HMRC return?

No. The £4.99 covers one set of qualifying dormant accounts filed with Companies House. A confirmation statement is a separate filing, and Companies House dormancy is different from Corporation Tax dormancy. Filing these accounts does not tell HMRC that your company is dormant. You can also file your confirmation statement with us as a separate order. To tell HMRC, use our tell HMRC your company is dormant service. Read what the service includes.

When are my accounts due, and how long does filing take?

Private company accounts are normally due nine months after the financial year ends. First accounts are usually due 21 months after registration. Your company’s register entry shows its deadline. We aim to submit the same day once the period has ended and we have your details, director approval and payment. Companies House acceptance can take longer. Read about deadlines.
