About this filing

To remove a PSC, file form PSC07 with Companies House within 14 days of the company having confirmation that their control ended.

There is no Companies House fee; the SimpleFilings service fee is £4.99. When a person with significant control sells their shares, gives up their voting rights or otherwise stops controlling the company, the company must report it on form PSC07.

The same form is used when a company owner that is a relevant legal entity stops being registrable. Our service helps you report the end of one PSC's control.

You choose the person or entity, give the date their control ended and the date the company confirmed it, and tell us why, and we check that PSC07 is the right route. You approve the filing before it is submitted.

How to remove a PSC at Companies House

PSC07, "Notice of ceasing to be an individual person with significant control (PSC), relevant legal entity (RLE), or other registrable person (ORP)", tells Companies House that a person or entity no longer has significant control of the company. It is made under section 790LF of the Companies Act 2006.

Filing does not take away anyone's control. The change happens first, for example when a share transfer completes. PSC07 then reports it. If the person still meets any PSC condition, they are still a PSC and PSC07 is the wrong form.

Companies House recommends filing online. A paper form is still available, but paper forms take longer to process. Only one PSC, RLE or ORP can be named per form, so two people leaving means two filings.

Companies no longer keep their own register of PSCs. That duty was removed on 18 November 2025. The Companies House register is now the record, so it needs to be right.

PSC07 checklist: what you need

  • The PSC's name exactly as it appears on the public register: an individual's full forenames and surname, or the entity's name. Their month and year of birth helps identify them, but it is optional on the form.
  • The date the person stopped having significant control. This is when the change took effect, such as the day a share transfer completed, not the day you file.
  • The date the company had confirmation that the person had ceased to be a PSC, and of the date they ceased. If those came on different days, use the later one. Give this date even if it is the same as the date control ended.
  • Why their control ended. The form does not ask for a reason, but we need it to check that PSC07 is right and not PSC04.
  • Who now controls the company. If someone else has become a PSC, or there is no PSC left, that needs its own notice.
  • The company authentication code and who is authorised to file. We check both before you pay.
  • Whether any PSC has applied, or is applying, to keep their details off the public register, and that the company is covered by the PSC rules. Protected, paper or unusual cases are checked with you before you pay. A paper PSC07 needs the authenticator's printed name and capacity, not a handwritten signature.
  • If the PSC has died: a copy of the grant of probate or letters of administration. We check it privately; it is not sent with the form. If the grant has not been received yet, choose the review option instead.

When does someone stop being a PSC?

A person is a PSC if they meet one or more of the conditions: more than 25% of the shares, more than 25% of the voting rights, the right to appoint or remove a majority of the board, or significant influence or control. Control through a trust or firm also counts. They stop being a PSC only when none of these apply any more.

Common examples are a shareholder selling or transferring shares so they hold 25% or less, a shareholder agreement ending so someone loses the right to appoint most directors, or a company owner selling its stake.

If someone's holding falls but they still meet a condition, for example from 60% to 40%, they stay a PSC. Their nature of control has changed, which is reported on PSC04 for an individual, not PSC07.

The PSC07 14-day deadline

Section 790LF says the notice must be given within 14 days beginning with the day the company had confirmation that the person ceased to be registrable and of the date they ceased.

Two dates go on the form. The date ceased is when control actually ended. The date of confirmation is when the company had that confirmed. The 14 days run from the confirmation date. Do not wait for the next confirmation statement.

Removing a PSC who has died

Companies House guidance says a PSC who has died should remain on the register until a grant of probate or letters of administration has been received. Their identity does not need to be verified.

Once the estate is being dealt with, the shares or rights may pass to someone else. If that person now meets a PSC condition, they must be added as a new PSC. Our service prepares the PSC07 for your approval once you confirm the grant has been received. It does not deal with probate or the transfer of shares.

What else may need updating after a PSC07

  • A new PSC. If the shares went to someone who now holds more than 25%, they are added with PSC01, or as an entity through the PSC02 route.
  • No PSC left. If no one is a registrable person or relevant legal entity, the company must tell Companies House within 14 days. PSC information cannot be left blank.
  • Director role. If the person was also a director and has resigned, that is reported separately on TM01.
  • Share records. A share transfer is not completed by filing PSC07. The transfer paperwork and any Stamp Duty are separate.
  • Protected details. Do not use PSC07 if any individual PSC has applied, or is applying, to protect their details from the public register. Contact the Companies House secure forms team for the correct form.
  • An LLP. LLPs use LL PSC07, not PSC07.

What happens after you start your PSC07

Find your company, confirm the ordinary online route and choose the exact PSC record. Give the current name, actual cessation date, later company-confirmation date and how the company confirmed these facts. Confirm that no registrable control remains, provide the actual post-cessation PSC position and, for a deceased individual, the grant evidence. We verify these facts, company authentication and the authorised filer before payment. Uncertain or specialist cases remain in route review. You approve the filing before submission.

The register changes only when Companies House accepts the filing. Payment, or a submission receipt, does not on its own mean the change has been accepted. The person's entry is not deleted. All information on the form goes on the public record, and the register keeps a history of past PSCs.

Common mistakes when removing a PSC

  • Using PSC07 when the person's holding fell but they still have more than 25%. That is a change of details on PSC04.
  • Putting the filing date as the date they ceased.
  • Removing a PSC who has died before probate or letters of administration have been received.
  • Forgetting to add the new PSC who bought the shares.
  • Leaving the company with no PSC and no notice saying so.
  • Naming two people on one form.
  • Assuming a director's resignation also removes them as a PSC, or the other way round. Each role is reported separately.

What this request covers

We check your instructions and submit the filing once it is approved. The register changes only when Companies House accepts it.

Before you start

  • One existing individual PSC, RLE or ORP per ordinary online cessation. LLPs use LL PSC07; UK Societas, exempt companies, restoration, paper, uncertain identity or cessation and protected cases need separate route review.
  • We verify the exact current record and type, individual full forenames and surname or entity name, actual cessation, later company-confirmation date and evidence, and every remaining direct, firm and trust control condition before payment. Optional title and public birth month/year can remain blank; no full birth date, private address, personal code or mandatory supporting attachment is required by PSC07.
  • For a deceased individual, we inspect the actual grant of probate or letters of administration before payment. Until it is received the PSC remains on the register. No identity verification is required for a deceased PSC. We also check actual continuing/new/no-PSC positions and any separate notice needed; PSC07 alone does not file those notices.
  • We verify the actual authorised online filer, company authority and company authentication before payment. Paper is outside this standard online service. A paper PSC07 needs the authenticator's printed name and permitted capacity, without a handwritten signature: director, secretary, person authorised under sections 270/274, administrator, administrative receiver, receiver, receiver manager, Charity Commission receiver and manager, CIC manager or judicial factor. Liquidator is not a listed capacity. Optional presenter contacts and all PSC07 information are public; private evidence is not put on the form.

Fees

It does not cover adding a new PSC, changing an existing PSC's details, preparing share transfer paperwork, probate matters or legal advice on who controls your company. You can also file PSC07 yourself, free, through the official Companies House service.

No Companies House filing fee for this standard filing.

Remove a PSC (PSC07): common questions

Is there a Companies House fee to remove a PSC?

No. Companies House does not charge to file PSC07. If you use SimpleFilings, the only charge is the £4.99 SimpleFilings service fee.

How long do I have to tell Companies House someone is no longer a PSC?

14 days, beginning with the day the company had confirmation that the person stopped being a PSC and of the date they stopped. This is set by section 790LF of the Companies Act 2006.

A shareholder sold all their shares. What do I file?

PSC07 to record that they stopped being a PSC. If the buyer now holds more than 25%, or meets another condition, they must be added as a new PSC. The share transfer itself is separate paperwork.

Can I remove a PSC who has died?

Companies House says the PSC should stay on the register until a grant of probate or letters of administration has been received. After that, PSC07 can be filed, and anyone who inherits control may need adding as a new PSC.

What if the company has no PSC after the removal?

The company must tell Companies House that it has no registrable person or relevant legal entity, within 14 days of first knowing or having cause to believe this. That is a separate notice from PSC07.

Will the person's name be taken off the register?

No. Their entry stays on the public register as a former PSC, with the date their control ended. PSC07 records the end of control; it does not delete the history.
