About this filing

To register a company that controls yours as a corporate PSC, file form PSC02 for a relevant legal entity (RLE).

Companies House lists no fee; the SimpleFilings service fee is £4.99. Not every corporate owner qualifies.

If its details change, you use PSC05. Owners such as a government body use PSC03 and PSC06 instead.

You send us the completed form and the supporting details. We check the entity is registrable, that the right form is used and that the details are complete.

You approve the filing before it is submitted.

When is a corporate shareholder registrable?

A relevant legal entity is registrable only if it is the first relevant legal entity in your company's ownership chain. For example, if UK Company B owns all of your company, you report Company B. You do not report Company B's own parent or the people who own it. They appear on Company B's register.

Many corporate owners are not relevant legal entities. Companies House gives these examples: an overseas company without listed voting shares, including an overseas parent of a UK company, and an entity on the Register of Overseas Entities. Charitable incorporated organisations are not relevant either. You cannot register these with PSC02.

Instead, you look through them. You find any individual or relevant legal entity with a majority stake in that owner, such as most of its voting rights. If that owner is also not relevant, you keep looking up the chain. An individual you find is reported with PSC01, and a relevant legal entity with PSC02. If you find nobody, you report that to Companies House with a PSC statement.

Which form: PSC02, PSC03, PSC05 or PSC06?

Companies House recommends filing PSC information online where possible. Paper forms take longer to process and must be printed full size on white A4 paper.

  • PSC02: give notice of a new relevant legal entity with significant control.
  • PSC05: change the details of a relevant legal entity already on the register.
  • PSC03: give notice of an other registrable person, which is a national or local government or government department, an international organisation of two or more countries, or a corporation sole.
  • PSC06: change the details of an other registrable person.
  • PSC07: when the entity stops having significant control. This is a separate service.

What you need before filing PSC02 or PSC05

  • The entity's full name and the address of its principal office.
  • Its legal form, such as private limited company, and the law that governs it, such as England and Wales.
  • If it is on a register: the name of the register, the country and its registration number.
  • Which of the five PSC conditions it meets, for example its share band, voting band or right to appoint or remove most of the directors.
  • The date it became registrable (not before 6 April 2016), or for a change, the date of the change.
  • For PSC02, the later date the entity confirmed its status and details to your company.
  • Your completed form and, for online filing, your company authentication code.
  • The printed name and capacity of the person signing off the form. No handwritten signature is needed.
  • A full physical principal-office address. A PO box must sit inside a full address, and DX or LP numbers cannot be used.
  • Everything on the form goes on the public register, including any presenter contact details you add.

What you need for PSC03: other registrable persons

PSC03 is for a body that is not an ordinary company: a corporation sole, a government or government department, a local authority, or an international organisation with at least two countries or territories (or their governments) as members.

You do not need the body itself to confirm its details. If a date or detail cannot be found, we look at the route with you before you pay. We never guess it.

  • The body's exact name, principal office, legal form and governing law.
  • The date it became registrable.
  • Every control condition that applies, with the exact share and voting bands.
  • The later date your company established its status and details, and how you know.
  • The printed name and capacity of the person signing off the form. No handwritten signature, registration number, birth details or personal code is needed.

What you need for PSC06: changing an existing other registrable person

Use PSC06 when a body already on the register as an other registrable person changes its details. Fill in only the parts that changed. The body does not need to confirm the change itself.

If no control condition is left, use the remove-a-PSC service (PSC07) instead. If a date or detail is missing, choose review and we look at it with you. We never guess it.

  • The body's name exactly as it is on the register now.
  • What changed and the date it changed. Changes on different dates need separate forms.
  • The later date your company established the change, and how you know.
  • If control changed: every condition that now applies, with the exact share and voting bands.
  • The printed name and capacity of the person signing off the form. No handwritten signature, registration number, birth details or personal code is needed.

Corporate PSC deadlines: the 14-day rules

Once a relevant legal entity has confirmed its details, you must tell Companies House within 14 days. When you know or suspect an entity has become registrable but do not yet have confirmation, Companies House says you must report that within 14 days, and send it a notice asking it to confirm. It has one month to reply.

The same applies to changes. When a registered entity's details change, you update Companies House within 14 days of having confirmation. Failing to keep PSC information up to date is a criminal offence.

Do corporate PSCs need identity verification?

Not yet. Companies House's legal entities guidance (version 5, November 2025) says identity verification does not yet apply to registrable relevant legal entities. It does apply to individual PSCs and directors. If a person behind your company is an individual PSC, they must verify separately.

What happens after you send your PSC02 or PSC05

Find your company, tell us what needs to change, give the relevant date and upload the completed form with the supporting details. We check the entity is registrable, the form matches the type of owner, and the bands and dates make sense. If the entity is not registrable, we tell you before anything is filed.

You approve the filing before it is submitted. The register changes only when Companies House accepts it. A receipt or payment is not the same as acceptance.

Common mistakes with corporate PSCs

  • Registering an overseas parent company that is not listed on a specified market. It is not a relevant legal entity.
  • Reporting the whole group chain. Only the first relevant legal entity is registrable.
  • Using PSC01 for a company owner, or PSC02 for a council or government department (PSC03).
  • Counting a parent with a 25% holding. The share and voting tests need more than 25%.
  • Leaving out the governing law, or where registration applies, the register, country/state and matching registration number.
  • Waiting for the confirmation statement. Changes are due within 14 days.

What this request covers

We check your instructions and submit the filing once it is approved. The register changes only when Companies House accepts it.

Before you start

  • Not every corporate shareholder is a registrable relevant legal entity. PSC02 requires the first qualifying RLE in the chain; PSC03 is for an other registrable person. Individuals use PSC01/PSC04.
  • Before payment the operator checks every applicable section, actual dates and supporting evidence, eligibility and filing authority. PSC02 requires confirmation from the RLE; PSC03 does not require confirmation from the ORP itself, but the current form asks for the company-established status/all-particulars date. If that date or evidence is unavailable, use separate review and do not invent it. PSC05 requires actual RLE confirmation of the changes, how particulars changed and the actual date; only changed sections are completed. Different dates need separate forms. PSC06 requires the company-established change, particulars and date, not confirmation from the ORP itself. Unavailable facts require route review; the actual current ORP record and completed form are checked before payment. PSC02, PSC03, PSC05 and PSC06 may be authenticated by a director, secretary, person authorised under sections 270/274, administrator, administrative receiver, receiver, receiver manager, charity commission receiver and manager, CIC manager or judicial factor; no liquidator is listed. UK Societas organ membership, exempt/listed companies, LLPs, restoration or uncertain routes need separate review. PROOF companies require the permitted online route.

Fees

£4.99 SimpleFilings service fee. Companies House lists no fee for PSC02, PSC03, PSC05 or PSC06, and we confirm the route before you pay. The service covers reviewing and submitting one approved entity PSC filing. It does not include working out your group structure for you, tracing owners overseas, sending statutory notices, identity checks, registering an individual PSC (PSC01 or PSC04), removing a PSC (PSC07), or legal advice on who controls your company.

No Companies House fee for a verified standard entity PSC filing; we confirm the route before payment.

Total: £4.99 to SimpleFilings, plus any official fee or tax described above, confirmed before payment. Tax and penalties are separate.

Step by step

  1. Find your company. Find your company by name or number. We fill in its public details from the Companies House register, such as the registered office, officers and people with significant control.
  2. Answer the questions. Answer only the questions we cannot fill in from the register, add any documents asked for and give the email address for your receipt and filing updates. Confirm that you are authorised to arrange the request and that you have checked and approve the details.
  3. Confirm the fee. We confirm the fee for your filing before opening secure card payment. The total price includes the applicable government filing fee.
  4. We submit to Companies House. We check your answers and any documents, then submit to Companies House. Updates go to your email, and you can follow progress through your private request link. A payment receipt is not confirmation that Companies House has accepted the filing.

Corporate PSC/RLE (PSC02 / PSC05): common questions

Can our parent company go on the PSC register?

Only if it meets a PSC condition, is a relevant legal entity and is the first one in your ownership chain. It is then registered with PSC02 as a relevant legal entity, not as an individual PSC. An unlisted overseas parent cannot be registered this way.

Is there a Companies House fee for PSC02 or PSC05?

Companies House lists no fee for PSC02, PSC03, PSC05 or PSC06. Our £4.99 SimpleFilings service fee covers checking and submitting the filing once you approve it.

Our parent company is overseas. Do we file PSC02?

Usually not. An overseas company is a relevant legal entity only if its voting shares are traded on a specified market. Otherwise you look through it to the individual or relevant legal entity with a majority stake.

How long do we have to file PSC02?

Within 14 days of the entity confirming its details. If you know it is registrable but have no confirmation yet, report that within 14 days and send it a notice.

Does a relevant legal entity need to verify its identity?

Not yet. Companies House guidance from November 2025 says identity verification does not yet apply to registrable relevant legal entities. Individual PSCs and directors must verify.

What is the difference between PSC02 and PSC03?

PSC02 is for a relevant legal entity, such as a UK parent company. PSC03 is for an other registrable person: a government or government department, an international organisation, or a corporation sole.
