About this filing
Report property already released from a charge, or no longer owned by the company, using form MR05.
The filing records what has happened; it does not itself release the lender’s security. There is no Companies House fee.

A common example is a company selling a building that was part of a lender's security. You tell us which charge, which property and what has happened.
We check the details against the MR05 requirements and you approve the filing before it is submitted.
How to release property from a charge at Companies House
MR05 is the Companies House form for a statement that charged property has been released from the charge, or has ceased to form part of the company's property. It can be filed online, through third-party software, or on a paper form sent by post.
You file one MR05 for each charge. If the same property is covered by two charges, for example a mortgage and a debenture, each charge needs its own statement.
The statement must say whether all of the property or only part of it is affected. If it is only part, it must include a short description of that part, such as the address of the building that was sold.
MR05 or MR04: released property or a paid-off charge?
These two forms are often confused. MR04 is for a charge that has been satisfied, meaning the debt it secured has been paid in full or in part. MR05 is for property that has come out of the security, while the charge itself may still be in place.
Filing an MR05 does not mark the charge as satisfied. Companies House guidance says the charge stays shown as outstanding on the register. If the loan has been paid off, the right filing is MR04 instead.
What you need for an MR05 filing
- Which charge it is. For a charge created on or after 6 April 2013, this is the charge code shown on the register and on the certificate of registration.
- For a historic registration before 6 April 2013, the actual original creation or acquisition date and basis, instrument description if any, and complete original charged-property particulars and continuations. Charge number is optional. Uncertain registration eras need separate review.
- Whether the property has been released from the charge, no longer belongs to the company, or both.
- Whether this affects all of the property or only part, with a short description of the part if it is only part.
- Who is giving the statement, with their name and an address. A service address or the registered office is fine; it need not be where they live.
- That person's interest in the charge, for example the company, the lender, or an authorised representative.
- The company authentication code, so the filing can be made for the company.
- Complete registration, property statement and actual approval evidence for operator checks before payment. Uploading a file alone does not verify its contents.
- Actual lender release, completed disposal or other evidence supporting your statement for our private verification. It is not a compulsory government attachment; no government release-date or amount field is required.
- Paper MR05 needs the C3 deliverer's genuine manuscript or automatically generated signature in C4; a typed name is not accepted. Paper, specialist or uncertain cases stay in separate review.
MR05 deadline and fees
There is no deadline for an MR05. The 21 day rule applies to registering a new charge, not to statements of release or satisfaction. Even so, it makes sense to file once the release or sale has completed, so the public register is accurate.
Companies House does not list a fee for MR05. The Companies House fee that applies to charges is for registering a charge in the first place, which costs £14 online or £24 on paper.
What happens after you order an MR05 filing
Once Companies House accepts the statement, it is added to the charge record on the public register. Payment, or a submission receipt, does not on its own mean the filing has been accepted. Keep a copy of the approved filing, and any deed of release from the lender, with the company's records.
This filing only updates the Companies House register. It does not release the security itself, which is a matter for the lender and the security documents, and it does not change any other register, such as a land title.
- Find your company and choose the charge from its Companies House register.
- Tell us whether the property was released, no longer belongs to the company, or both, and whether all or part is affected.
- Provide the complete registration and actual property/approval evidence. We check its contents and the correct charge before payment; uncertain cases go to separate review.
- You approve the MR05 before it is submitted to Companies House.
Common MR05 mistakes to avoid
- Using MR05 when the loan has been repaid. A paid-off charge uses MR04.
- Filing before the lender has actually agreed to release the property, or before a sale has completed.
- Putting more than one charge on the same statement. Each charge needs its own MR05.
- Choosing 'part' without describing which part of the property is affected.
- Giving the wrong charge code, or mixing up two charges with similar dates.
- Expecting the charge to disappear from the register. After an MR05, the charge still shows as outstanding.

Release property from a charge (MR05): common questions
What is an MR05 form?
MR05 is the Companies House statement that some or all of the property covered by a registered charge has been released from it, or no longer belongs to the company.
Is there a Companies House fee for MR05?
Companies House does not list a fee for an MR05 statement. If you use SimpleFilings, the only charge is the £4.99 SimpleFilings service fee.
Does MR05 remove the charge from the register?
No. The statement is added to the charge record, but the charge itself stays shown as outstanding. To show that the debt has been paid, file an MR04 statement of satisfaction.
Who can file an MR05?
The statement gives the name, address and interest in the charge of the person delivering it. That is usually the company, the lender or someone authorised to act for them.
Is there a deadline to file MR05?
No deadline is set in law. The 21 day deadline applies to registering a new charge. It is still sensible to file promptly so the register reflects the release.
The company sold a property covered by a debenture. Which filing do I need?
If the property has left the company but the debenture still secures other assets, the sale is reported with MR05, choosing 'part' and describing the property sold. If sale money was also used to pay off the debt, in whole or in part, that payment is reported separately with MR04. Check the position with the lender if you are unsure.
